Maurits has extensive experience in assisting clients with both public and private national cross-border M&A deals. His work involves advising on public takeover bids, private acquisitions, management buy-outs, joint ventures and other strategic partnerships. He is an expert in complex structuring issues and works for a wide range of clients in various sectors, including private equity funds, institutional investors and strategic parties. In 2017, Maurits was seconded to Clearly, Gottlieb, Steen & Hamilton in New York for a period of 7 months. He was a nominee for the M&A Awards in 2014 and 2016.

  • Advised Odin Groep and its shareholders on the sale of Odin Groep to private equity firm Apax Partners.
  • Advised Van Oord Renewable Finance B.V. on the sale and transfer of its (approx.) 10% stake in Blauwwind Management II B.V. and  Blauwwind Management II C.V. to  a fund advised by Luxcara.
  • Advised CSC on the conditional agreement of a recommended public offer for all shares of Intertrust for EUR 20 (cum dividend) in cash per share.
  • Advised the publicly traded software company Bentley Systems Inc. on the acquisition of Oxplus B.V.
  • Represented Xebia, a portfolio company of Waterland Private Equity, in connection with the acquisition of Oblivion Cloud Control.
  • Represented Xebia, a portfolio company of Waterland Private Equity, in connection with the acquisition of coMakeIT. coMakeIT provides software product expertise, including IT engineering services and is active in the Netherlands, India, Australia and the UK.
  • Advised Keizerskroon Beheer B.V. with regard to the sale of a majority stake in Easy Sanitary Solutions B.V. (ESS) to Hansgrohe SE.
  • Advisering Keizerskroon Beheer B.V. bij de verkoop van een meerderheidsbelang in Easy Sanitary Solutions B.V. (ESS) aan Hansgrohe SE.
  • Advised publicly traded Swedish company XVIVO Perfusion AB on the acquisition of 100% of the shares in Organ Assist BV for a purchase price of EUR 24 million. Organ Assist’s business focuses on developing machines and disposable components for liver and kidney perfusion.
  • Advised Plain Vanilla Investments (PVI) with the purchase of the shares in the capital of the Begra group. The Begra group (re)sells warehousing storage solutions and products for warehouse installations, both new and second-hand products, and including providing ancillary services (such as inspections).
  • Houthoff assisted D-Labs Holding B.V. and its private equity investor Plain Vanilla Investments in the sale of DDL Diagnostic Laboratory to ViroClinics Biosciences. DDL Diagnostic Laboratory focuses on the development of advanced molecular diagnostic tests on behalf of pharmaceutical companies and clinical laboratories.
  • Advised the shareholders of Dept Holding B.V. on the sale of the Dept Group to The Carlyle Group. Dept is an international digital agency with a focus on creativity, technology and data.
  • Advised GIC, Singapore’s sovereign wealth fund, on the joint venture agreement with Equinix for more than USD 1 billion to develop and operate hyperscale data centres in Europe. The joint venture will acquire two operational data centres in London and Paris and plans to futher develop data centres in Amsterdam, Frankfurt (two sites) and London. Houthoff was co-counsel to Kirkland & Ellis on this transaction.
  • Houthoff advised Navitas Capital on the sale and transfer of Partou to KidsFoundation. The owner of KidsFoundation – the English private equity firm Onex – will become the new owner of Partou, together with the Dutch private equity firm Waterland. Partou and KidsFoundation both provide child and toddler care services in the Netherlands, including day care, after-school care and pre-school/early childhood education facilities.
  • Advised Latour Capital and Bpifrance (Banque publique d’investissement), together with Cleary Gottlieb Steen & Hamilton LLP, in connection with their consortium acquisition of Plastic Omnium Environment BV, the environment division of Plastic Omnium. The purchase price amounts to €220 million.
