De zorgsector staat onder druk. Door de vergrijzing en steeds knappere, maar ook duurdere behandelmethoden stijgen de kosten terwijl de uitgaven niet verder mogen groeien. De overheid heeft om die reden de gereguleerde marktwerking geïntroduceerd. Dat wil zeggen dat zorginstellingen enerzijds geacht worden te concurreren op het gebied van portofolio-keuzes, kwaliteit, prijs en financiering en te maken hebben met bestuurdersaansprakelijkheid en mededingingsregels. Anderzijds worden zij zwaar gereguleerd, bijvoorbeeld ten aanzien van winstuitkering, aanbesteding, beloningen en governance. Deze spanning noopt tot creativiteit, zowel medisch inhoudelijk als op organisatorisch terrein.

Focus, economies of scale, innovatieve zorg, nieuwe financieringsvormen, moeten uitkomsten bieden voor de zorgbestuurder. Het Zorgteam van Houthoff begrijpt deze ontwikkelingen en toont telkens weer aan hier grote toegevoegde waarde te kunnen bieden. Het Zorgteam bestaat uit ruim 20 juridisch specialisten die zowel hun eigen specialisme (zoals mededingingsrecht, regelgeving, governance, M&A, financiering, privacy, arbeidsrecht) als de sector door en door kennen. Waar nodig kunnen zij daarbij bovendien terugvallen op de andere 280 specialisten van Houthoff. Het Zorgteam adviseert instellingen op het gebied van cure en care, zorgverzekeraars en investeerders.

Een belangrijk onderdeel van ons werk bestaat uit het begeleiden van (complexe) strategische heroriëntaties van zorginstellingen. Het kan dan gaan om fusies, joint ventures, overnames, maar ook om afstotingen. De inzet van advocaten en notarissen uit verschillende disciplines zorgt ervoor dat in nauwe samenwerking met de cliënt het traject zorgvuldig wordt begeleid. Of het nu gaat om de melding bij de ACM en NZa, complexe samenwerkingsovereenkomsten, toepasselijke zorgwetgeving (waaronder de WTZi, WMG, Zvw, Wlz en WNT) of het structureren van bestuur en toezichthouders, het Zorgteam zorgt voor een pragmatische en solide oplossing. Zo heeft het Zorgteam de complexe horizontale fusie begeleid tussen de universitaire ziekenhuizen AMC en VUmc en vele andere ziekenhuisfusies (waaronder in Rotterdam, Tilburg en Haarlem/Hoofddorp).

Naast deze trajecten staat het Zorgteam ook nieuwe markttoetreders bij. Zo adviseerde het Zorgteam een verzekeraar die in 2018 tot de Nederlandse zorgverzekeringsmarkt zal toetreden. Daarbij heeft de multidisciplinaire aanpak van het Zorgteam zich bewezen door de inzet van specialisten op het gebied van de Wft, zorgwetgeving, WNT en corporate governance structuren.

Houthoff assisted the AMC and VUmc hospitals in obtaining the required approval from the Netherlands Authority for Consumers & Markets (ACM) for an administrative merger. The approval enables the two Amsterdam-based university medical centres to cooperate on patient care, research, education and training without limitation. Assisted the two Amsterdam university hospitals, AMC and VUmc, in obtaining regulatory approval for their anticipated merger from the Dutch health care authority, NZa. The NZa granted its approval on July 14. Following this approval from the NZa, the university hospitals will notify their intended transaction to the Dutch competition authority ACM.
