Jetty is gespecialiseerd in ondernemings- en effectenrecht, met speciale nadruk op Equity Capital Markets (ECM) en publieke en private M&A-transacties. Haar ECM ervaring omvat beursgangen, vervolgplaatsingen en claimemissies. Daarnaast adviseert zij over joint ventures en corporate governance. Zij geeft, tezamen met Alexander Kaarls, leiding aan het ECM-team van Houthoff. Na ruim 16 jaar werkzaam te zijn geweest bij Allen & Overy maakte zij in 2016 de overstap naar Houthoff. Zij is lid van de Vereniging Handelsrecht en van de Vereniging voor Financieel Recht (VVFR).

Advised ASR Nederland N.V. (a.s.r.) on the acquisition of a 50% interest from Brand New Day in Brand New Day Premiepensioeninstelling N.V. (BND PPI) and the sale of a.s.r.'s 10% interest in Brand New Day Houdstermaatschappij N.V. for a total amount of EUR 51 million.

Advised Redefine Properties Limited (listed on Johannesburg Stock Exchange) and European Logistics Investment B.V. (ELI) on the sale of 46.5% of the shares in ELI to Madison International Realty and 2% of the shares in ELI to Griffin Real Estate. Houthoff worked in close collaboration with Rymarz Zdort (formerly Weil, Gotshal & Manges) on this matter.

Houthoff advised Albert Westerman Groep B.V. and the management of State of Art on the sale of a majority stake in State of Art to Quadrum Capital. State of Art, with a rich history dating back to 1936, is headquartered in Lichtenvoorde. The company has 40 retail stores and more than 600 official dealers. The transaction was completed on 23 September 2019.

Houthoff assisted ShoppingParks N.V., Terzetmus B.V., Kempen & Co N.V. and KBC Securities N.V. with the successful accelerated bookbuild offering of 750,000 shares in the capital of Retail Estates N.V., a Belgian publicly listed real estate company. ShoppingParks N.V. and Terzetmus B.V. are two closed-end Dutch real estate funds managed by Freeland.

Acted as Dutch counsel in connection with the preparation and implementation of the settlement plan relating to the Agrokor group. Agrokor entered into an insolvency process in 2017 under 'Lex Agrokor', a law passed in Croatia aimed at the restructuring of Agrokor in view of its systemic importance for the Croatian economy. The business has been transferred to the Fortenova Group.

Assisted Van Gelder Groep in the acquisition of W. van den Heuvel en Zoon Infra, a company specialising in Lightrail construction. W. van den Heuvel en Zoon Infra will continue operating as a stand-alone business, whereby one of the selling shareholders will act as the business manager.

Houthoff advised Alychlo NV on its mandatory public offer for the shares in the capital of SnowWorld N.V.. On 21 September 2017 Alychlo the investment company of entrepreneur Marc Coucke, acquired an additional interest in SnowWorld, resulting in the obligation to make a mandatory offer for the remaining shares in the capital of SnowWorld. Alychlo launched the mandatory offer for a price of EUR 9.50 per share and published its offer memorandum on 13 March 2018.

Houthoff advised PPLA Participations Ltd. ("PPLA") on the listing of European units on Euronext Amsterdam and the delisting of securities. Each unit represents one class A voting common share and two class B non-voting common shares of PPLA. The underlying shares are not separately tradable on Euronext Amsterdam. The listing and delisting were both effective on 29 December 2017. All units listed on Euronext Amsterdam are wholly interchangeable with the Brazilian units of PPLA listed and traded in Brazil on B3.

Houthoff, jointly with Skadden, advised Netherlands-incorporated TMF Group and its shareholders DH Private Equity Partners and management on the (ultimately aborted) IPO of TMF Group on the London Stock Exchange (premium listing segment) and subsequently on the sale of TMF Group to CVC Capital Partners for EUR 1.75 billion.
